岗位职责:Responsibilities:You will be a member of TSMC’s China Legal Division, and will provide general day-to-day legal support to TSMC’s operations in mainland China. In addition, you will be working closely with the Director of TSMC’s China Legal Division and other TSMC Legal colleagues around the world, to develop and execute legal strategies. Your responsibilities include:Draft and review various technology transaction and commercial agreements. Negotiate terms and conditions to safeguard TSMC’s rights, while taking into account company’s long term business goals.Advise internal clients and ensure best practices in diverse legal areas such as labor law, compliance, export control, antitrust, and intellectual property. Manage and mitigate legal risks by designing and implementing policies and procedures.Assist in preparing standard templates for recurring transactions and to address new issues in the law and/or new areas of businesses for the company.Ensure internal clients in compliance with TSMC’s legal processes, and help them address legal issues early as they arise in the course of daily operations and commercial transactions.Supervise outside counsel to ensure they deliver high quality work product in a cost effective manner.您将成为台积电中国法律部的一员，为台积电在中国大陆的运营提供日常法律支持。您的职责包括：1、起草、审核公司各类商业合同，参与合同商业谈判，以维护公司权利并兼顾公司长期业务目标；2、为业务部门提供劳动法、合规、出口管制、反垄断以及知识产权等不同法律领域的***实践建议，并协助设计、执行相关管理制度，以降低法律风险；3、协助制定常规业务的标准法律文本，帮助业务部门及早解决日常运营和商业交易过程中出现的法律问题；4、执行公司内部法律管理制度，确保业务部门遵守公司内部法律程序；5、监督外部法律顾问工作，管控成本的同时确保交付高质量的工作成果。任职要求:Requirements:Ideal candidate should have strong communication skills and a proactive mindset to not only help internal clients identify legal issues but also provide solutions. This job also requires strong organizational skills and attention to detail, the ability to prioritize multiple projects that have competing deadlines, while delivering high quality work product.
